Metro Performance Glass Limited (“Metroglass”) announces that Mr Rhys Jones has tendered his resignation as Director of the Board, with immediate effect. Mr Jones has been an independent Director since 2018.
Chair Peter Griffiths said: “On behalf of the Board of Directors and management I would like to sincerely thank Rhys for his invaluable contribution and commitment to Metroglass. It is unfortunate that the board is losing Rhys’s knowledge and expertise at this time.”
In accordance with the Metroglass Board Charter and Code of Ethics, Mr Jones declared his interests shortly after he was appointed, including his role as Chief Executive Officer of Vulcan Steel Ltd. He is resigning now to avoid any perception of a conflict of interest as Takutai Limited is a substantial shareholder in both Vulcan Steel Ltd and Metroglass.
As is usual practice, the Metroglass board had established a sub committee for the purpose of managing the announced sale process of AGG. The committee has also led the board’s response to the recent unsolicited proposal from Takutai Limited and Masfen Securities Limited. Mr Jones has not been a member of that sub committee.
Recruitment for a replacement Director has begun, and further details will be announced in due course.
