EROAD Appoints New Director Progressing Board Renewal

Auckland, 22 May 2026: EROAD Limited ("EROAD") is pleased to announce the appointment of Ryan Brosnahan as a Non-Executive Director of EROAD, effective 1 June 2026.

 

Ryan is a highly experienced financial services and technology executive with more than 25 years of international experience across New Zealand, Australia, the United Kingdom, Asia and the United States. His career has focused on large-scale digital transformation, strategy execution and operational delivery in complex, regulated environments, including as Chief Transformation Officer at Bendigo and Adelaide Bank, where he led the Group's digital transformation programme in addition to having functional responsibility for technology, digital, data, cards and payments.

 

Ryan holds governance and advisory roles across the fintech and payments sector, including a directorship with Banzpay and sits on the advisory Board of Revolut New Zealand and Trustport in addition to advising Boards and Executives on Technology and Digital Transformation.

 

Since October 2025, Ryan has served as EROAD's Chief Transformation Officer on a part-time basis, a role that concludes prior to the effective date of his appointment as a director. In that role, he has been a pivotal contributor to the transformation programme the Board has been executing — including the restructure of the executive leadership team, the redesign of the regional operating model, and the strategic refocus on the ANZ core business. His deep familiarity with EROAD's operating reality, execution risks and capability gaps means he is able to contribute meaningfully at Board level from day one.

 

John Scott, Executive Chair, said: “Ryan joined EROAD in October 2025 and has been an outstanding contributor to our transformation from day one. Ryan has been working alongside the team on the operational and technical foundations of the business. In six months, he has built an understanding of EROAD that would typically take years for a director to develop.

 

He is technically strong, commercially sharp, and brings deep experience in automation and high-efficiency, customer-first operating models. These are exactly the skills we need as we execute this transformation. Critically, Ryan has been personally involved in standing up many of the programmes now underway across the business. Having him on the Board ensures we maintain continuity of oversight at precisely the moment those programmes need to deliver."

 

In accordance with NZX Listing Rule 2.6, the Board has determined that Ryan Brosnahan does not currently qualify as an independent director, given his recent executive engagement with EROAD as Chief Transformation Officer. Ryan will stand for election by shareholders at EROAD's Annual Shareholders' Meeting.
