On 1 April 2022, Z Energy Limited (NZX/ASX: ZEL) (“Z Energy”) announced that the application for Final Court Orders approving the Scheme of Arrangement under which 100% of the shares in Z Energy will be acquired by Ampol Holdings NZ Limited (“Ampol”) (“Scheme”) was scheduled to be considered on 13 April 2022.
Z Energy now advises that, due to the requirement for Ampol to give sufficient notice of implementation of the Scheme to the New Zealand Commerce Commission (“NZCC”) in accordance with the conditions of the NZCC’s clearance of the Scheme, the application for Final Court Orders approving the Scheme has been rescheduled and will now be considered before the presiding judge of the High Court in Wellington on 26 April 2022.
Z Energy also advises that no notices of opposition to the Scheme were received by the required deadline of 5pm on Wednesday 6 April 2022.
In addition to High Court approval, the other key condition to the Scheme is approval from the Overseas Investment Office (“OIO”). A further announcement will be made when an OIO decision is received.
