NWF - IMPLEMENTATION OF SCHEME OF ARRANGEMENT

NZ Windfarms Limited (NZX: NWF ) (“NZ Windfarms”) is pleased to advise that the scheme of arrangement relating to the acquisition by Meridian Energy Limited (“Meridian”) of all of the remaining shares in NZ Windfarms that it did not already own (the “Scheme”) has been implemented.

 

Meridian now holds 100% of the shares in NZ Windfarms.

 

The Scheme consideration of 25 cents per share in cash has today been paid to shareholders who held shares in NZ Windfarms at 5.00pm on the Record Date (23 July 2025).

 

NZ Windfarms will be delisted from NZX by close of trading today.

 

With effect on and from implementation of the Scheme, Craig Stobo, Patrick Brockie, Christine Spring and Philip Cory-Wright resigned as directors of NZ Windfarms and each of its subsidiaries.

 

Michael John Roan and Jason Andrew Duncan Woolley have been appointed as directors of NZ Windfarms and each of its subsidiaries by Meridan effective from the implementation of the Scheme.
