DOW - Retirement of Non-executive Director

Downer EDI Limited (Downer) announced today that Annette Carey has advised of her decision to retire as a Non-executive Director on 14 September 2026 for personal reasons.

Since joining the Board in November 2025, Ms Carey has served on Downer’s People and Culture, Project Governance and Nominations Committees.

Ms Carey has advised that her decision to resign as a Non-executive Director has been made after careful consideration.

“This difficult decision has been made for personal reasons, as I rebalance my professional commitments and travel limitations to enable me to best allocate my time and availability.

“I wish the Downer team every success in the future.” she said.

Downer’s Chair, Mark Menhinntt thanked Ms Carey for her contribution to Downer.

“Annette has been a dedicated and valuable contributor to the Downer Board and has a proven record of creating and protecting value for shareholders. Whilst it is disappointing to be losing a director such as Annette, we understand and respect her decision. The Board thanks Annette for her contribution and wishes her all the best for the future” he said.
