BRW - Floorscape offer not progressed

Bremworth Limited ("Bremworth") (NZX Code: BRW) announced on 3 September 2026 that Floorscape Limited ("Floorscape") had presented a revised offer at a fixed price of $0.95 per share for all of the shares in Bremworth.

Following announcement, the Board sub-committee engaged with major shareholders to gauge the level of support for the revised Floorscape offer. Those discussions indicated that there would not be sufficient support for the revised offer to warrant progressing it further, notwithstanding that the offer was superior to the partial offer from Mangawhai Collective Limited ("Mangawhai") at $0.90 per share.

Bremworth has therefore determined not to progress discussions with Floorscape, and the scheme implementation agreement with Floorscape has been terminated.

Bremworth will issue a Target Company Statement in respect of the Mangawhai partial offer which will include the Directors’ recommendation and the Independent Adviser's Report by no later than 18 September 2026.

The Board strongly recommends that shareholders TAKE NO ACTION until they have received and considered the Target Company Statement. Bremworth advises shareholders to seek professional advice if they intend to take any action with respect to their Bremworth shares prior to receiving those documents.
