WIN - Winton Appoints Michael Stiassny as Independent Chair

Winton Land Limited (Winton) is pleased to announce the appointment of Michael Stiassny as independent chair of Winton, with effect from 2 September 2026.

 

Appointment of Michael Stiassny

Michael Stiassny is a professional director, with more than 40 years’ experience in financial advisory, governance and capital markets. Mr Stiassny currently chairs NZX listed 2 Cheap Cars Group Limited and Being AI Limited. He is also the chair of Momentum Life Insurance Limited and a director of a number of other private companies, including Tegel Group Holdings Limited and LPF Group Limited. Mr Stiassny holds both Commerce and Law degrees from the University of Auckland and is a Chartered Fellow and former President of the New Zealand Institute of Directors.

 

The Board has determined that Mr Stiassny is an independent director for the purposes of the NZX Listing Rules. In making its determination, the Board carefully considered all relevant factors, including the non-exhaustive factors at table 2.4 of the NZX Corporate Governance Code.

 

Board committee composition

In connection with Mr Stiassny’s appointment, the Winton Board has also approved changes to the composition of its board committees to ensure compliance with the requirements of the NZX Listing Rules and the best practice recommendations of the NZX Corporate Governance Code, as follows:

 

Audit and Financial Risk Committee

Non-executive Director, Chris Meehan

 

Nomination and Remuneration Committee

Independent Director, Michael Stiassny (Chair)

Additional independent director and senior leadership team recruitment

The Board is committed to the appointment of further independent directors to meet the NZX Corporate Governance Code best practice recommendation of a majority of independent directors. A third-party recruitment agency has been engaged by the Board to assist with identifying suitably qualified independent director candidates.

 

As noted previously, the Board has also commenced a process to appoint a permanent CEO and will shortly commence a process to appoint a new Chief Financial Officer. Winton will update the market as those processes are completed. In the meantime, Winton’s existing senior leadership team are managing Winton’s day to day operations.

 

The Board appreciates the significant period of transition for senior management, and is committed to the actions required to ensure that Winton’s team is fit for the future. The Board has confidence that the senior leadership team will continue to successfully deliver on Winton’s plans and performance.
