Transportation technology services company EROAD Limited (NZX/ASX: ERD) advises that Cameron Kinloch, a non-executive director based in the United States, has notified the Board of her resignation, effective 2 March 2026.
Ms Kinloch said: “It has been a privilege to bring my North American and SaaS growth experience and my background as a financial and governance leader to EROAD over the last two years. As the Board continues to refine its strategic priorities, I believe this is an appropriate time for transition. I remain fully supportive of EROAD and its management team and will assist with a smooth transition."
During her two years on the Board, Ms Kinloch brought global technology and North American market insights to EROAD, contributed to the Company's evaluation of growth opportunities, and supported key workstreams across capital planning and organisational initiatives. She also contributed through her work on the Finance, Risk and Audit Committee and the Nominations Committee.
Executive Chair John Scott thanked Ms Kinloch for her valuable contributions to the Board during a period of significant financial and operational transformation, including turning EROAD to cash flow positive, over the past two years. The Board will commence a search for a director with skills aligned to EROAD's strategic focus.
Due to her resignation, Ms. Kinloch will not participate in the Fixed Trading Plan and will continue to receive cash fees for the remainder of her term.
Following Ms Kinloch's resignation, the EROAD Board will comprise five directors, four of whom are independent directors.
