Annual results announcement date – reliance on NZX class waiver

Heartland Group Holdings (Heartland) (NZX/ASX: HGH) advises that it expects to:

• announce its full year results for the year ended 30 June 2020 (FY20) on Thursday 17 September 2020; and

• release its annual report for FY20 on Friday 30 October 2020.

This announcement is made in reliance on the NZX Class Waiver from Listing Rules 3.5.1 and 3.6.1 dated 3 April 2020, which provides issuers (including Heartland) with additional time to prepare and release their full year results announcement and annual report, in recognition that COVID-19 has impacted issuers’ abilities to meet the usual reporting timeframes.

Dividend update

On 2 April 2020, the Reserve Bank of New Zealand amended the standard Conditions of Registration, prohibiting the payment by all New Zealand registered banks of distributions to their shareholders.

The prohibition does not prevent Heartland from paying dividends to its own shareholders, and Heartland continues to consider whether it will pay any final FY20 dividend. Heartland’s decision will be announced at the time of Heartland’s FY20 results announcement.

Annual Meeting

Heartland advises that its Annual Meeting will be held at the Eden Park Function Centre, Kingsland, Auckland on Monday 30 November 2020. Other details relating to the meeting will be advised in the Notice of Meeting to be sent to all shareholders in due course.

Director nominations

For the purposes of NZX Listing Rule 2.3.2, Heartland advises that the closing date for director nominations is Wednesday 30 September 2020. All nominations must be received by 5pm (NZT) on that date.

Nominations may only be made by a security holder entitled to attend and vote at the meeting, and should b accompanied by the consent in writing of the person nominated.

Any nominations should be sent to Heartland at PO Box 9919, Newmarket, Auckland 1149, for the attention of the Chief Legal & Bank Risk Officer.
