Company Profile

Spotless Group Limited ("Spotless") is a diversified services company established in Australia in 1946. The Spotless group of companies (the "Group") employs over 32,000 people across more than 30 countries and operates two distinct businesses - Facility Services and Retailer Services.

Facility Services

Across Australia and New Zealand Spotless partners with clients to add value to their core business by working on, in and around client facilities (Facility Services). Spotless' Facility Services is managed through four operating divisions: Managed Services (facilities management and asset maintenance), Food Services, Cleaning Services and Laundry Services.

Retailer Services (Braiform)

The Retailer Services business, operating under the brand Braiform, provides customised garment hanger and packaging solutions to retailers and garment manufacturers globally. Each year Braiform supplies over three billion retail solutions through its operations in over 30 countries and is the largest manager of closed loop reuse garment hanger programs in the world. Braiform is committed to further growing these environmentally responsible and cost effective closed loop reuse programs.

Financial Performance

For the financial year ended 30 June 2009, the Group reported revenue of A$2.4 billion (NZ$3.0 billion) and net profit after tax of A$42.7 million (NZ$52.5 million), an increase of 64.2 per cent on the prior corresponding period (pcp).

Market Capitalisation

Spotless was listed on the Australian Securities Exchange in 1961. The Group currently has 259.1 million ordinary, fully paid, shares on issue with a market capitalisation of over A$736 million (NZ$902 million) based on the closing price on the ASX of $A2.84 on 14 January 2010 and an AUD/NZD exchange rate of 1.23.

New Zealand Presence Spotless' association with New Zealand commenced in 1970 through its New Zealand subsidiary, Spotless Services (NZ) Limited (formerly known as Nationwide Food Service (N.Z.) Limited). Today, Spotless Services (NZ) Limited is the 7th largest employer in New Zealand1 with operations across every city and employing over 12,000 people in New Zealand.

In New Zealand, Spotless Services (NZ) Limited:

! Food Services operates 156 contracts across 201 sites. Major clients include Eden Park, Westpac Trust and AMI stadia, Auckland and Dunedin airports and Auckland Zoo.

! Cleaning Services operates 2,068 contracts across 2,737 sites. Major clients include the Parliamentary Commissioner, ANZ National Bank Limited, Bank of New Zealand, New Zealand Police and Massey and Otago universities.

! Laundry Services has 2,068 contracts. Major clients include Air New Zealand, the District Health Boards of Waikato, Lakes and Bay of Plenty, Sky City, Langham and Hyatt hotels. With six commercial laundries in NZ, the business processes approximately 28,700 tonnes of laundry annually.
