Special Meeting of Shareholders of Lombard Group Limited

1. Lombard Group Limited (LOM) hereby advises that a special meeting of shareholders will take place at 10.30 am on 10 March 2010 at the offices of Minter Ellison Rudd Watts, Level 17, 125 The Terrace, Wellington.

2. The special meeting has been called for shareholders to consider and, if thought fit, pass resolutions relating to the proposed reverse takeover of LOM by Australian Consolidated Insurance Limited (ACIL).

3. The following documents relating to the special meeting were sent to shareholders today, and are enclosed with this notice: (a) the notice of special meeting; (b) the proxy form relating to the special meeting; (c) the profile document required by NZX Guidance Note - Backdoor and Reverse Listing Transactions - August 2008; and (d)an independent appraisal report relating to the proposed reverse takeover of LOM by ACIL.

4.
