ANNOUNCEMENT

2010 CAPITALISATION ISSUE and TOTAL VOTING RIGHTS

Guinness Peat Group plc ("GPG") announces that at 5 p.m. on Friday 4 June 2010 it allotted 165,310,716 Ordinary shares of 5p each ("Shares") in respect of its 2010 Capitalisation Issue. Of this number, 27,016,796 Shares will initially be registered on the Australian register in the form of CDIs. The Capitalisation Issue Shares will be credited to shareholders' accounts on the UK, Australian and New Zealand share registers on Monday 7 June 2010.

Following the allotment in respect of the 2010 Capitalisation Issue, and pursuant to Rule 5.6.1 of the Disclosure and Transparency Rules, GPG advises that the total number of its ordinary shares of 5p each in issue as at the date of this notice is 1,818,561,824.

GPG does not hold any shares in treasury.

The total number of voting rights in GPG is therefore 1,818,561,824. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required under the Disclosure and Transparency Rules to notify their interest in, or a change to their interest in, GPG.
