MEETING: DIL: 2010 Annual Meeting

At the Diligent Board Member Services 2010 Annual Meeting, the Shareholders elected Rick Bettle, Mark Russell, Peter Huljich, Alex Sodi and Sharon Daniels as Directors of the Corporation for the ensuing year. Messrs. Bettle, Russell and Huljich are independent directors.

The Shareholders approved the appointment of Holtz Rubenstein Reminick LLP as the Corporation's Auditors for the year 2010. The Shareholders also approved the proposed 2010 Stock Option Plan for the Corporation.

Finally, the Shareholders approved the Transaction pursuant to which Services Share Holding will make cash and stock prepayments on the Note it has previously issued to the Corporation and the Note will be amended to increase the interest rate, extend the maturity date, eliminate early withdrawal of pledged stock from security and convert interest payments to an annual basis from quarterly payments.
